Issaquah Business Lawyer

Business, Contract and Transaction Counsel for Issaquah Companies

Issaquah lawyer

Jeanette Bowers Weaver is a Washington business attorney who has represented Issaquah and Eastside companies since her admission to the Washington State Bar in 1997. Her practice centers on business contracts, corporate and business law, and business transactions, including entity formation, buying and selling businesses, and ongoing general counsel work.

Issaquah’s business community has grown well beyond its historic Front Street core. Companies in the Issaquah Highlands, Talus, Gilman Village and along the I-90 corridor now include start-ups, family-owned businesses, professional practices and established regional employers. Each faces the same core question at different stages: are our agreements, ownership structure and employment practices built to protect what we have built? Jeanette helps owners answer that question before it becomes a dispute.

Why Issaquah Business Owners Work With Jeanette

  • Nearly three decades of Washington practice. Licensed in Washington since 1997, Jeanette has guided businesses through formation, growth, ownership changes and sale.
  • Personal, attorney-level attention. Before any work begins, Jeanette meets with each client to understand their goals, risks and budget. You work directly with her, not a rotating team of associates.
  • Practical, business-minded advice. Recommendations are tailored to how your company actually operates. When a matter calls for it, Jeanette coordinates with your CPA, financial advisor or technical experts so legal, tax and business decisions line up.
  • Predictable fees. Many business owners prefer flat-fee arrangements to open-ended hourly billing. Jeanette offers fixed fees for many services and will structure fees around your preference.
  • Local and convenient. With her office in south Bellevue near the I-405/I-90 interchange, Jeanette can serve businesses all over the Eastside, or meet you at your place of business.

Business Formation and Structure

Choosing between an LLC, corporation or partnership affects liability, taxes and how easily you can bring in investors or sell later. Jeanette forms new entities, drafts operating agreements, bylaws and shareholder agreements, and helps existing companies restructure as they grow.

Contract Drafting and Review

Most business disputes trace back to a contract that was vague, one-sided or never signed. Jeanette drafts and reviews the agreements Issaquah businesses rely on every day, including:

  • Vendor, supplier and customer agreements
  • Licensing, development and distribution agreements
  • Purchase and sale agreements
  • Independent contractor agreements
  • Confidentiality and trade secret agreements
  • Non-solicitation agreements (see the note on Washington’s new noncompete law below)

Mergers, Acquisitions and Business Sales

Whether you are buying a competitor, bringing on a partner or preparing to sell, Jeanette handles letters of intent, due diligence, purchase agreements and closing documents. She focuses on the terms that most often decide whether a deal holds up: price adjustments, representations and warranties, indemnification and post-closing obligations. Employment Agreements and Employee Issues

Jeanette prepares offer letters, employment agreements and confidentiality and non-solicitation agreements, and advises employers on workplace policies and employee concerns under Washington law.

Management, Governance and Compliance

Governance problems usually surface when owners disagree. Jeanette helps define decision-making authority, buy-sell terms and member or shareholder rights in advance, and advises on Washington state filing and reporting requirements.

Joint Ventures and Strategic Alliances

When two businesses collaborate, ownership of work product, profit sharing and exit rights need to be settled in writing up front. Jeanette structures and documents these relationships.

Outside General Counsel

Many Issaquah companies are too small for an in-house lawyer but need one regularly. Jeanette serves as outside general counsel, giving owners a consistent attorney who knows their business and can answer questions as they arise.

Estate and Succession Planning for Business Owners

A business is often an owner’s largest asset. Jeanette helps owners plan for succession and protect their families through wills, trusts and broader estate planning.

Washington’s Noncompete Ban: What Issaquah Employers Should Know

In March 2026, Washington enacted a near-total ban on noncompete agreements, effective June 30, 2027. It applies to existing agreements as well as new ones, and employers must notify affected workers by October 1, 2027 that their noncompetes are void. Narrowly drafted non-solicitation, confidentiality and trade secret agreements remain available. If your company uses noncompetes with Washington employees or contractors, now is the time to review them. Contact Jeanette to update your agreements before the deadline.
